• Formation of Corporation. Draft and file Articles of Organization with the Secretary of the Commonwealth’s office; draft By-Laws; draft initial stockholder and director consents and meeting notes.

• Formation of Limited Liability Company. Draft and file Certificate of Organization with Secretary of Commonwealth’s office; draft Operating Agreement and initial LLC Member consents and meeting notes.

• Business Succession. Draft and file amended Articles of Organization; draft updated By-Laws; draft Shareholder Management Agreement and Cross Purchase Agreement; counsel of need for and adequacy of key man insurance.
